Jorge is an associate of the firm, he has 11 years of experience and his practice focuses on foreign investment of entry and foreign investment in Mexico. His work includes Corporate Law, Mergers and Acquisitions, Mining Law, Foreign Investment and International Operations.

 

During his professional career, he has represented and advised legally recognized national and multinational companies of the sector in their daily corporate operations in Mexico and abroad, as well as in the relations between their own shareholders and against any third party. Implementation and advice of internal mergers and divisions strategies, increases and reductions of capital, contributions in kind, with or without premium in subscription of shares among other usual figures; organization and structure of corporate groups "holding companies".

In the Mining sector, he constantly advices to mining companies with participation in Mexico and abroad, in their daily corporate operations, restructuring and corporate reorganizations with their Mexican and international subsidiaries, M & A Mining with extensive participation in Due Diligences Mining, advising various companies in the acquisition of mining projects through the purchase of assets or companies. Negotiation and advice in the preparation of mining contracts (Royalties, Exploration, Joint Ventures), as well as in the financing of mining companies for the development of new projects. Advice and organization of mining companies for IPOs in Mexico, the United States, Canada and Germany, among other markets. Regularization and daily control of regulatory matters on Mining Concessions before the Public Registry of Mines, General Directorate of Mines, SEDENA for the use of explosives, SEMARNAT and PROFEPA and General Directorate of Civil Aviation.
